La Corte Suprema de Justicia acept\u00f3 un planteo formulado por la Comisi\u00f3n Nacional de Valores (CNV) y revoc\u00f3 un fallo previo que favorec\u00eda al empresario Eduardo Constantini en relaci\u00f3n a sanciones vinculadas con operaciones realizadas por Consultatio SA y la Compa\u00f1\u00eda Inmobiliaria San Mart\u00edn de Tours SA.<\/p>\n

La decisi\u00f3n fue tomada por los magistrados Horacio Rosatti, Carlos Rosenkrantz y Ricardo Lorenzetti, quienes se basaron en un precedente establecido en la causa “Ilic”, donde el tribunal analiz\u00f3 c\u00f3mo determinar un “plazo razonable” en sumarios administrativos.<\/p>\n

El caso involucra a Eduardo Francisco Constantini, Mariana Constantini y la Compa\u00f1\u00eda Inmobiliaria San Mart\u00edn de Tours SA, quienes presentaron planteos en contra de la CNV, en el contexto de una investigaci\u00f3n por presunta manipulaci\u00f3n del mercado burs\u00e1til a trav\u00e9s de compras estrat\u00e9gicas que buscaban elevar artificialmente el valor de las acciones de Consultatio SA, as\u00ed como por la falta de informaci\u00f3n sobre dichas operaciones. <\/p>\n

Seg\u00fan informaci\u00f3n obtenida a partir de la sentencia, la indagaci\u00f3n de la CNV se inici\u00f3 en 2008 y la sanci\u00f3n fue impuesta en 2018.<\/p>\n

La defensa de Constantini neg\u00f3 las acusaciones y argument\u00f3 que las compras eran inversiones espont\u00e1neas a largo plazo. Tambi\u00e9n sostuvo que la propia gerencia contable de la CNV hab\u00eda indicado que no se pod\u00eda determinar si existi\u00f3 intenci\u00f3n de manipular el precio de las acciones y que no hab\u00eda evidencias de maniobras enga\u00f1osas.<\/p>\n

Pese a ello, la CNV desestim\u00f3 esos argumentos, y el empresario recurri\u00f3 a la Justicia, alegando que la prolongaci\u00f3n del tr\u00e1mite dificultaba la aplicaci\u00f3n de las sanciones. La C\u00e1mara Nacional de Apelaciones en lo Civil y Comercial Federal revoc\u00f3 la decisi\u00f3n del organismo y consider\u00f3 extinguida la sanci\u00f3n al considerar que se hab\u00eda vulnerado la garant\u00eda del plazo razonable.<\/p>\n

El organismo apel\u00f3 esa resoluci\u00f3n, y el expediente lleg\u00f3 a la Corte Suprema. En junio de 2025, la Procuraci\u00f3n General de la Naci\u00f3n se pronunci\u00f3 a favor del recurso, argumentando que la C\u00e1mara no hab\u00eda considerado la complejidad de las operaciones investigadas ni la actuaci\u00f3n procesal de los sumariados, lo que impedir\u00eda adjudicar los per\u00edodos de inactividad al organismo administrativo.<\/p>\n

Con base en ese dictamen y en el precedente “Ilic, Suzan Hayley y otros c\/ Comisi\u00f3n Nacional de Valores”, la Corte otorg\u00f3 lugar al recurso extraordinario de la CNV y dej\u00f3 sin efecto la sentencia apelada. <\/p>\n<\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"
